1. Introduction

This End-User License Agreement ("Agreement") is a legal contract between you ("User", "you") and Elyes & Yassine LTD ("Company", "we", "us", or "our"), governing your use of the Noxis mobile application ("App") downloaded through the Apple App Store or other authorized distribution platforms.

By installing or using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the App.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use one copy of the App on each device that you own or control,

• Access and use the App solely for your personal, non-commercial purposes.

This license does not permit you to:

• Distribute, lease, sublicense, sell, or transfer the App to a third party

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code

• Modify, adapt, or create derivative works based on the App

3. Ownership

The App is licensed, not sold, to you. All intellectual property rights in the App and its content (including designs, code, meditations, affirmations, journal formats, logos, and AI components) are owned by Elyes & Yassine LTD or its licensors. These rights are protected by international copyright and trademark laws.

4. Restrictions

You agree not to:

• Use the App for any illegal, abusive, or harmful purpose

• Interfere with the App’s operation or circumvent security measures

• Upload any content that violates third-party rights or contains malicious code

• Use any automated system or software to extract data from the App for commercial use

5. Updates & Maintenance

We may provide updates or upgrades to improve functionality or fix bugs. These may be applied automatically. You agree that we have no obligation to provide support, maintenance, or future updates.

6. Third-Party Services

The App may link to or integrate third-party content (e.g., Spotify playlists, embedded videos). We are not responsible for the privacy practices, terms, or content of these third-party services.

Use of third-party tools is at your own risk and governed by their respective terms.

7. Termination

This license is effective until terminated. You may terminate it by deleting the App. We may also terminate your license without notice if:

• You breach this Agreement

• You misuse the App or engage in unlawful behavior

• We discontinue the App

Upon termination, you must delete all copies of the App and cease use.

8. Disclaimers

• The App is provided "as is" and "as available" without warranties of any kind.

• We disclaim all implied warranties, including fitness for a particular purpose and non-infringement.

• We do not guarantee the App will be error-free, uninterrupted, or meet your expectations.

9. Limitation of Liability

To the maximum extent permitted by law, Elyes & Yassine LTD will not be liable for:

• Any indirect, incidental, or consequential damages

• Any loss of data, profits, or emotional well-being arising from the use of or inability to use the App

Use of the App is at your own discretion and risk.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Elyes & Yassine LTD is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts in that region.

11. U.S. Government Use (if applicable)

The App is a "Commercial Item," as that term is defined in 48 C.F.R. §2.101. Use, duplication, or disclosure by the U.S. Government is subject to restrictions.

12. Apple App Store Terms

This Agreement is between you and Elyes & Yassine LTD only. Apple Inc. is not a party. However:

• You acknowledge that Apple is a third-party beneficiary of this EULA.

• Apple may enforce this EULA against you as a third-party beneficiary.

• In case of failure to conform with any warranty, you may notify Apple, and Apple will refund the purchase price. Apple has no further warranty obligation.
