Please read these Terms & Conditions ("Terms", "Terms of Use", "Agreement") carefully before using the Noxis mobile application, website, and associated services (collectively referred to as the “Service”).

By downloading, accessing, or using Noxis, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

This Agreement constitutes a binding legal contract between you (“User”, “you”) and Elyes & Yassine LTD (“Noxis”, “we”, “us”, or “our”). Your continued use of Noxis signifies your acceptance of all updates to these Terms.

2. Who Can Use Noxis

You must be at least 13 years of age to use Noxis. If you are in the European Union or similar jurisdictions, you must be at least 16 years old. If you are underage, you may not use the Service.

By using Noxis, you represent that you have the legal capacity to enter into this agreement and are not prohibited from doing so under any applicable law.

3. Account Creation & Security

Some features of Noxis require you to create an account. You agree to:

• Provide accurate and complete information

• Keep your login credentials secure

• Take full responsibility for activity under your account

We reserve the right to suspend or delete any account if we suspect fraudulent activity, abuse, or violation of these Terms.

4. Your Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use Noxis to harm, threaten, or harass others

• Reverse-engineer, decompile, or exploit the app or its AI

• Upload or distribute harmful code or content

• Use Noxis in a way that violates the rights of any third party

You are solely responsible for your conduct and the content you submit (e.g., journal entries, messages, feedback).

5. Intellectual Property

All content in the Noxis app—including logos, scripts, text, audio, visuals, AI outputs, guided meditations, and design—is owned or licensed by Elyes & Yassine LTD and protected under copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Noxis for personal, non-commercial use only.

You may not reproduce, distribute, or create derivative works without our written permission.

6. Subscriptions & Payments

Certain features in Noxis may be available through a paid subscription.

• All fees are displayed in your local currency and processed through Apple’s in-app purchase system.

• Your subscription will auto-renew unless canceled at least 24 hours before the end of the current period.

• You can manage or cancel your subscription in your App Store settings.

No refunds will be issued for partial periods unless required by law.

7. Disclaimer of Medical Advice

Noxis is not a medical or psychological service.
All features (including meditations, affirmations, and AI interactions) are provided for educational and wellness purposes only.

Noxis does not diagnose, treat, or prevent any medical or mental health condition. If you are experiencing a crisis, please contact a licensed healthcare provider or emergency services.

8. Availability and Updates

We strive to keep Noxis accessible and bug-free but do not guarantee:

• Continuous availability of the app or its features

• Absence of delays, disruptions, or data loss

We may modify, suspend, or discontinue the Service at any time without notice.

9. Termination

We reserve the right to suspend or terminate your account and access to Noxis, at our sole discretion, without notice or liability, if you violate these Terms or pose a security or legal risk to the platform.

You may also delete your account at any time via in-app settings.

10. Privacy Policy

Our collection and use of your personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Noxis, you consent to our data practices as outlined in the Privacy Policy.

11. Limitation of Liability

To the fullest extent permitted by law, Elyes & Yassine LTD shall not be liable for:

• Any indirect, incidental, special, or consequential damages

• Any loss of data, revenue, or reputation

• Any decision made or action taken based on content or advice from Noxis

Use of Noxis is at your own discretion and risk.

12. Indemnity

You agree to indemnify and hold harmless Elyes & Yassine LTD, its affiliates, and partners from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

• Your use or misuse of Noxis

• Your violation of these Terms

• Any content you upload or share through the Service

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Elyes & Yassine LTD is registered.

In the event of a dispute, we encourage you to contact us first at contact@noxis.app. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts located in [Insert Jurisdiction, e.g., England & Wales or your official legal registration].

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we do, we will notify you via the app or email. Continued use of Noxis after changes constitutes your acceptance of the new Terms.
